The services provided by SurplusGlobal, Inc. ("SurplusGlobal") through Website and the use of the Website are under these Terms and Conditions (the "Terms and Conditions"). The Agreement (the "Agreement") includes this Terms and Conditions, and Privacy Policy.
By accessing let alone using the Services and the Website or by registering as either a buyer or a seller ("Buyer", "Seller", "Member", or "User"), you agree that
(1) You have read and familiarized yourself with the Agreement,
(2) You understand the Agreement, and
(3) You are bound by the Agreement in your use of the Services and the Website.
If you do not agree to the Agreement, you may not access or use the Services or the Website. The Terms and Conditions constitute the entire agreement (the "Agreement") between SurplusGLOBAL and a member regarding its subject matter and supersede and replace any and all prior or contemporaneous agreements between the parties regarding such subject matter. |

 Registration |
| The Website is available only to individuals and businesses who can form legally binding contracts under the applicable laws. After submitting the registration form, User is authorized to be a member. SurplusGLOBAL may reject an applicant if it determines, in its sole discretion, that the applicant is not appropriate and need not provide a reason for its rejection. |

| Modification |
| SurplusGlobal may, in its sole discretion, modify, add or remove any portion of this
Agreement, at any time, by posting an amended Agreement to the Website. The amended Agreement will become effective and binding upon the posting of such Agreement on the Website. SurplusGlobal reserves the right, for any reasons and at any time, in its sole discretion, to modify, suspend, or terminate any portion of the Website without notice. |

The Services and the Website are only a venue for exchanging information pertaining to
business transactions. We are not involved in the actual transactions between Members.
We post information provided to us by Members in an effort to enable our Members to
potentially enter into transactions or arrangements with other Members. We do not verify to anyone that the information provided to us is accurate or that the exchange of
information and terms between Members via the Website will create any legally binding
contracts between Members. As a result, we have no control over the quality, safety or
legality of the advertised items, the truth or accuracy of the listings, or the information about the items.
As a result, you acknowledge and agree that SurplusGlobal is merely an aggregator of information provided by Members and does not guarantee or become responsible for any obligation arising out of any Member buying and selling arrangement. You also acknowledge and agree that we have no control over (or liability for) the quality, safety, or legality of the products listed, the truth or accuracy of the listings, the ability of sellers to sell products, or buyers to buy products, or the performance by any Member of any obligation. Because SurplusGlobal is not and cannot be involved in dealings between Members, in the event that you have a dispute with another Member which is related in any manner to the Service or the Website or any information or content posted thereon, you hereby release SurplusGlobal, its management, staff, contractors and agents from and against any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
SurplusGlobal reserves the right, for any reason, at its sole discretion, to terminate, change, suspend or discontinue any aspect of the Website or the Service, including, but not limited to, content, features or hours of availability. SurplusGlobal may also impose limits on certain features of the Services or restrict your access to part or all of the Website or the Services without notice or penalty. NONE OF SurplusGlobal, ANY PARTNER OR ANY LINKED WEBSITE MAKES ANY ENDORSEMENT OR WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED, SOLD OR OBTAINED THROUGH THE WEBSITE OR ANY TRANSACTIONS ENTERED INTO THROUGH THE WEBSITE. You are responsible in all respects for all uses of your password and for protecting its confidentiality. | Monitoring |
| You agree that SurplusGlobal has the right, but not the obligation, to monitor, edit, disclose (subject to SurplusGlobal's Privacy Policy), refuse to post, or remove, at any time, for any reason in its sole discretion, any Surplus and contents, including but not limited to Member Information and Posted Items anywhere on the Website. |

| Bidding or Buying |
| SurplusGLOBAL, at its sole discretion, has the right to evaluate Member's buying activity on the Website and announce the results (from SES, SurplusGLOBAL Evaluation System) on the Website. |

| Listing and Selling |
| Listings are text descriptions, graphics and pictures on the Website supplied by you that either; (a) textually describe the item you are listing for a sale, or (b) attach the files to the text describing the item you are listing for a sale with (a). You may post on the Website only (a) or both of these listing types, provided that you place such listings in appropriate categories including a mandatory one. For a good search result, SurplusGLOBAL may add or delete categories or keywords at its sole discretion. Without limiting other remedies, SurplusGLOBAL will suspend or terminate your membership if you repeatedly infringe third party intellectual property rights.
SurplusGLOBAL, at its sole discretion, has the right to evaluate Member's selling activity on the Website and announce the results (from SES, SurplusGLOBAL Evaluation System) on the Website. |

| Fees |
| Without any helf of SurplusGLOBAL marketers, the fee and payment obligation for use of the services set out at the Website are free. Only When a transaction is completed by the support of SurplusGLOBAL Marketers, certain amount of the transaction fees will be levied to sellers or buyers. In this case, the fees will be negotiated before SurplusGLOBAL marketers will start marketing activity throughout the world.
As for services, Customers including members can use all the web sections free of charge in general. |

| Interference |
You agree that you will not use any robot, spider, other automatic device, or manual process to monitor or copy any portion of the Website or the contents contained therein without prior express of written permission from SurplusGlobal. You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the Website or any transaction being conducted on the Website.

| Governing Law : Dispute Resolution |
| All disputes or controversies which may arise, out of or in relation to or in connectionwith this Agreement or for the breach hereof, shall be finally settled by arbitration in Seoul, Korea in accordance with the Commercial Arbitration Rules of the Korean Commercial Arbitration Board. The award rendered by the arbitrators shall be final and binding upon both parties and judgment upon such award may be entered in any court having proper jurisdiction. This Agreement shall be governed by and in accordance with the laws of the Republic of Korea.
In the event that any portion of this agreement is found to be invalid or unenforceable for any reason, such invalidity or unenforceability shall not affect the enforceability or validity of any other portion of this agreement, which shall remain in full force and effect and be construed as if the invalid or unenforceable portion were not part of the agreement. |
